IMPORTANT! READ THESE TERMS AND CONDITIONS FIRST

DEFINITIONS:
Seller: The person engaging the services of the Brokers.
Brokers: The management and employees of Holt WorldWide Co Ltd.
This is to confirm and clarify the conditions under which the Brokers have agreed to represent the Seller. This agreement is legally binding, and it is intended to ensure that there are no misunderstandings between both parties. This whole document must be acknowledged by the owner before the Brokers will act on behalf of the Seller and list the seller's property. Even if some of the terms and conditions of this document do not apply to the Seller's requirements, this is a standard agreement and any conditions that apply to a particular sale or rental shall apply.
TERMS AND CONDITIONS FOR REGISTERING A PROPERTY WITH US:
- AGREEMENT: The Seller agrees to appoint Holt WorldWide as a Broker for the Seller's properties. Unless agreed otherwise, the seller is free to engage the services of other brokers to sell the property being registered. It is further agreed that the sale price shall include the Broker's agency fee. We will not accept any listings from sellers who ask us to add our agency fee on top of the asking price.
- TRANSPORT: The Broker will pay for all transport costs while taking prospective buyers to view the Seller's property or properties.
- LISTING AND ADVERTISING: The Broker agrees to advertise the seller's property or properties on the Broker's websites at no cost to the Seller, displaying the necessary information and pictures supplied by the seller to ensure an attractive listing. Should the Seller require more advertising than that provided by the Broker, the Seller agrees to pay for any additional advertising costs. The Broker will provide a list of advertising rates in the media the Seller would like the property or properties advertised. All contact information in any advertising will be directed to Holt WorldWide as authorized Brokers for the Seller.
- PROPERTY SALE AGENCY FEE: When a Broker's client agrees to buy the property registered herein, the seller agrees that the buyer will pay a 20% deposit into a Holt WorldWide Ltd or the buyer's lawyer's escrow account. The 20% deposit will be held until the Due Diligence has been performed by the buyer's legal representative. If the Due Diligence confirms that the property is available for sale free and clear of any debts, liens, or other encumbrances, the Broker will pay the seller the deposit, less the agency fee agreed on in this document, on the day the Sales and Purchase Agreement is signed between the seller and the buyer. Should the Due Diligence reveal that the property cannot be sold because of debt, lien, or other encumbrance, the Broker will return the 20% deposit to the Broker's client, less a service fee of 10% of the amount deposited into the Holt WorldWide Co Ltd escrow account. It is further agreed by the seller that once a 20% deposit has been paid into the escrow account, no other offers to buy the property may be accepted until the Due Diligence is completed.
- THE BUYER'S DEPOSIT: At the time you meet with the buyer at their lawyer's office we will describe the purchase terms and conditions to the lawyer and he will prepare a Sales & Purchase Agreement. The buyer will hand over a cheque for the agreed deposit amount to the lawyer (or to a Holt WorldWide management representative) and the lawyer will issue a receipt that states:
- The deposit will be forfeit if the buyer pulls out of the deal for any reason, except for #2
- The deposit will be refunded in full if the Due Diligence report does not come back positive.
- If the owner pulls out of the deal for any reason, the buyer will receive the deposit back in full, plus a penalty to be determined and agreed on beforehand.
The deposit will be handed over to you, the seller, after the lawyer has conducted a Due Diligence check on the property and the report is positive.
- PROPERTY RENTAL AGENCY FEE: The rentor agrees to pay the Broker 10% agency fee of the total rental period.
- The Seller agrees not to impose any costs, transfer fees, stamp duty, or property business taxes for the transaction on the sales Broker.
- The Seller agrees to abide by any verbal agreement reached between the Broker, Buyer and Seller. Should the Seller change the agreed purchase price, or ask for additional fees for commitments agreed previously between the Seller and other outside parties, the Broker and buyer may decide to terminate discussions on a sale.
- Any disputes between a buyer and seller will be adjudicated by a lawyer based in Thailand of the Broker's choice.
- This agreement is binding between the Broker and the Seller. It may only be terminated by notification that the property has been sold either buy the seller or another broker, OR 30 days after a termination letter has been sent by registered mail by either party. During the 30 day period, any negotiations must either be completed or terminated and any outstanding fees must be paid.
